For and in consideration of employment with Precision Healthcare MS Staffing LLC, and/or PrecisionHealthcare Staffing, LLC (hereinafter “Company”), the undersigned employee or prospective employeedoes hereby covenant and agree that, during the duration of the Company, and for a period of three (3)years after dissociation of any employee or prospective employee from the Company, said employee orprospective employee will not directly or indirectly:Engage in employee and/or client recruitment or staffing efforts, within a one hundred (100) mile radiusof the business address of the Company at the time of dissociation.Recruit, solicit, induce, or attempt to induce any of the employees or customers of the Company toterminate or work extemporaneously from their employment or contractual relationship with Company.Solicit, divert, take away, or attempt to divert or take away, from the Company any of its business or thepatronage of its customers, clients, accounts, vendors or suppliers for products or services manufactured,sold, distributed or processed by the Company, and employee or prospective employee shall not assist anyother person to do so.If any restriction set forth in this this Agreement is found by any court of competent jurisdiction to beunenforceable because it extends for too long a period of time or over too great a range of activities or intoo broad a geographic area, it shall be interpreted to extend only over the maximum period of time, rangeof activities or geographic area as to which it may be enforceable.The restrictions contained in this Section are necessary for the protection of the business and goodwill ofthe Company and are considered by all Members, employees and/or prospective employees to bereasonable for such purpose. Each party agrees that any breach of this Agreement and Covenant willcause the Company substantial and irrevocable damage and therefore, in the event of any such breach, inaddition to such other remedies which may be available, the Company shall have the right to seek specificperformance and injunctive relief.
